Terms of Service

Effective August 13, 2026

These Terms of Service ("Terms") govern access to and use of the Foixar platform, applications, extensions, and related services (the "Service") provided by Foixar Corporation ("Foixar," "we," "us"). By accessing or using the Service, you agree to these Terms on behalf of yourself and, where applicable, the organization you represent ("Customer").

1The Service

Foixar provides software delivery governance: requirement grounding and specification tooling, governed code generation, pull-request policy enforcement, decision memory, and audit trails. Features may evolve; material reductions to purchased functionality will be communicated in advance.

2Accounts & Access

Customer is responsible for provisioning users, safeguarding credentials, and all activity under its accounts. Access is granted per the applicable order form or subscription plan and may not be shared beyond licensed users.

3Customer Content & Intellectual Property

Your code, repositories, requirements, specifications, decisions, and generated outputs remain yours. Customer grants Foixar a limited license to process Customer Content solely to provide and secure the Service. Foixar retains all rights in the Service itself, including its software, models of operation, and documentation. Foixar does not train machine-learning models on Customer Content.

4Bring-Your-Own Models & Third-Party Services

The Service can route prompts and context to model endpoints and integrations that Customer configures (e.g., Azure OpenAI, Anthropic, GitHub, Azure DevOps). Customer's agreements with those providers govern that use; Foixar is not responsible for third-party services, their outputs, or their availability.

5Acceptable Use

  • No unlawful use, no infringement of third-party rights, no attempts to breach or probe security.
  • No reverse engineering, resale, or benchmarking for a competing service without written consent.
  • No use of the Service to develop, deploy, or conceal malicious code.

6Fees, Trials & Pilots

Fees, billing cadence, and pilot terms are stated in the applicable order form. Trial and pilot access is provided "as is," may be limited or ended at Foixar's discretion, and converts only by mutual written agreement.

7Confidentiality

Each party will protect the other's non-public information with at least reasonable care, use it only to perform under these Terms, and disclose it only to personnel and advisors under equivalent obligations, or as required by law with prompt notice where permitted.

8Data Protection

Foixar processes personal data as described in the Privacy Policy and, where applicable, a data processing addendum executed with Customer.

9Disclaimers

The Service is provided "as is" and "as available." Foixar disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. Governance tooling assists human review; it does not replace it. Customer remains responsible for its code, releases, and regulatory obligations.

10Limitation of Liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or data. Each party's aggregate liability under these Terms is capped at the fees paid or payable by Customer in the twelve months preceding the claim, except for breaches of Section 5 or 7, or Customer's payment obligations.

11Termination

Either party may terminate for material breach uncured within thirty days of notice. Upon termination, access ends; Customer may export Customer Content for thirty days, after which it is deleted per our retention schedule.

12Governing Law & Changes

These Terms are governed by the laws of the State of Texas, excluding conflict-of-law rules, with exclusive venue in Harris County, Texas. We may update these Terms; material changes take effect thirty days after notice, and continued use constitutes acceptance.
